Supplier Code of Conduct
The Integrated Supply Organization of Al-Sulaymanyia and has a mission to cooperate and interact with outstanding domestic and international suppliers regarding the on-time procurement of commodities and services at the best cost and quality as expected by Al-Sulaymanyia and observing all safety, health, and environmental standards upon practicing the ethical standards and organizational values in a transparent workplace with healthy competition.
This code of conduct is a summary of the expectations set up by and the affiliated companies for the suppliers concerning all procurement transactions. All suppliers are expected to strictly practice ethical principles and maintain transparency and accountability regarding all procurement activities in the course of their cooperation. ethical principles of procurement emphasize zero tolerance for corruption and prevention of any conflict of interest and seek to boost the added value in the procurement of commodities and services required by the group to the maximum extent.
The suppliers are requested to thoroughly read the code of conduct stated in this document, ensure the health and transparency of work relationships of the Al-Sulaymanyia, and perform their commercial activities in the professional workplace following the highest ethical criteria. In addition, they make every effort to supply the commodities and services and provide the ground for the growth and development of themselves and the group in healthy competition with other suppliers.
This code of conduct shall apply to all suppliers, manufacturers, contractors, and subcontractors who provide any services or commodities for Al-Sulaymanyia.
Suppliers or potential suppliers shall practice any rules and regulations concerning bribery and corruption and avoid any prohibited trading methods. The suppliers shall observe the following conditions:
- The supplier shall not propose, either directly or indirectly, any commodities or services, cash or non-cash deposits, movable or immovable properties, and so forth, which are subject to corruption to the company’s employees.
- The supplier shall avoid offering, either directly or indirectly, any proposals, presents, or promises to carry out or not carry out a job, which benefits the supplier or any third party or grants a request by an employee.
- The supplier shall refrain, either directly or indirectly, from any activities related to money laundering.
- The suppliers shall immediately inform the management in case any company employees seek to gain the satisfaction of the supplier or any third party.
- The supplier shall not disclose, either directly or indirectly, the information and documents placed by at the supplier’s disposal or obtained through any other methods.
- In case any employee of the supplier is a former employee of or is currently an employee of this company, the supplier shall immediately inform the management of such issue.
Failure to inform the foregoing issue shall be deemed as a conflict of interest, in which case the supplier shall be banned from conducting the current and any future trading activities with any affiliated companies of this Group. In addition, shall be entitled to take any legal action proportionate to the breached obligations. Al-Sulaymanyia expects the supplier to announce and guarantee, with full honesty, that:
1- The supplier shall abide by all legal rules and regulations concerning the supply of commodities/services to the company.
2- The supplier shall not collide with other suppliers in the course of a tender or an inquiry.
An authorized and valid first-tier manufacturer or distributor is introduced to provide the services/commodities, and no manufacturer or distributor shall be entitled to introduce themselves as the representative to supply that service/commodity, either implicitly or explicitly, without obtaining the permit for the official representative.
1– The supplier shall be entitled to provide services/commodities per the registered subject of activity of that company for which the supplier has obtained the required permits to sell and distribute that service/commodity and is not subject to any legal prohibitions regarding conducting transactions.
2– The supplier guarantees that the supplier shall provide the service/commodity at the highest quality expected by Al-Sulaymanyia.
3– The supplier undertakes that the supplier possesses the required capabilities, equipment, and appropriate workplace to fulfill their obligations.
4– The supplier shall not delegate or outsource the services or commodities of the subject of the contract or the agreements, either wholly or partially, to any third party unless the supplier has obtained the written consent of Al-Sulaymanyia.
5– The supplier shall sustain the highest standards, honesty, and trustworthiness, and provide the top-quality services/commodity in the course of cooperation.
6– The supplier shall practice all principles and standards concerning the food industry including the safety of the foodstuff.
7– The supplier shall preserve all documents concerning the subject of cooperation for a minimum of two years in case of long-term contracts and for a minimum of three years in case of short-term contracts.
8– The supplier shall fully observe all Iraq laws including the Law of Labor, the Social Security Act, the Tax Law, etc.
9– The supplier shall make every effort to eliminate or reduce the destructive impacts of the commercial activities of the subject of the transaction on the environment.
10– The supplier announced that the supplier abides by the basic principles of human rights including avoiding racial discrimination, obligatory child labor, etc.
Al-Sulaymanyia shall regularly revise and review this code of conduct, if found necessary, to provide the best feedback on suppliers.
